Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the NoirStage applications, the noirstage.com website, and any related products and services (together, the “Service”), provided by NoirStage (“NoirStage,” “we,” “us,” or “our”).
1. Acceptance of these terms
By creating an account, installing, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service. We may modify these Terms at any time; updates are effective when posted, and your continued use of the Service constitutes acceptance of the updated Terms.
2. The service
NoirStage provides tools for creating, staging, sharing, and exporting interactive 3D content and experiences. We may add, change, limit, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you.
3. Accounts
You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activity that occurs under your account. You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service.
4. Your content
You retain ownership of content you create, upload, or submit through the Service (“User Content”). By creating, uploading, or submitting User Content, you grant NoirStage a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, sublicensable license to host, store, reproduce, modify, adapt, create derivative works of, publish, distribute, display, perform, and otherwise use that content in connection with operating, providing, developing, improving, training, promoting, and protecting the Service and our technologies, systems, and other products and services.
You represent and warrant that you have all rights necessary to submit your User Content and to grant the license above, and that your User Content does not violate any law or the rights of any third party. We may remove, disable, or decline to host any content at any time, at our sole discretion, with or without notice.
5. Acceptable use
You agree not to misuse the Service. Among other things, you will not:
- Use the Service in violation of any applicable law or regulation.
- Upload, create, or distribute content that infringes or violates the rights of others.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service or its related systems.
- Misrepresent your identity or your rights to any content.
- Use the Service to harm others or to develop anything unlawful or malicious.
6. Marketplace and transactions between users
The Service may allow users to publish, share, distribute, list, sell, or purchase content, products, or services (“User Offerings”). Users who offer User Offerings are solely responsible for them, including for having all rights necessary to offer and sell them, for their quality and legality, and for compliance with applicable laws and taxes.
NoirStage is not a party to transactions between users, does not review, endorse, or guarantee any User Offering, and is not responsible or liable for User Offerings, including any User Offering that infringes or misappropriates the rights of others. We may remove or restrict any User Offering, suspend or revoke selling privileges, or withhold, reverse, or refund amounts associated with any transaction, at any time, at our sole discretion.
7. Intellectual property complaints
If you believe content available through the Service infringes your rights, contact us at support@noirstage.com with sufficient detail to identify the content and the basis of your complaint. We may remove content and may suspend or terminate accounts at our discretion.
8. Third-party services
The Service may interoperate with or depend on third-party software, engines, and services. We are not responsible for third-party software or services, and your use of them may be subject to separate terms.
9. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT OR DATA WILL BE PRESERVED.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOIRSTAGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM.
11. Indemnification
You will indemnify, defend, and hold harmless NoirStage and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to your User Content, your User Offerings, your use of the Service, or your violation of these Terms or of any rights of another.
12. Termination
We may suspend or terminate your access to the Service at any time, for any reason, with or without notice. You may stop using the Service and delete your account at any time. Provisions that by their nature should survive termination (including Sections 4, 6, and 9–13) survive.
13. General
These Terms, together with the Privacy Policy, are the entire agreement between you and NoirStage regarding the Service. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them without restriction.
